FIXIA TERMS OF SERVICE
These Terms of Service ("Terms") govern your access to and use of the Fixia platform, including its website, mobile applications, APIs, and related services (collectively, the "Platform"), operated by Fixia Limited ("Fixia", "Company", "we", "us", or "our").
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
1. DEFINITIONS
For the purpose of these Terms:
- Platform means the Fixia website, mobile applications, APIs, and related services.
- User means any individual or entity that accesses or uses the Platform.
- Customer means a User who requests, books, or pays for services through the Platform.
- Service Provider means a User who offers or performs services through the Platform.
- Booking means a request, appointment, or confirmed service transaction between Users.
- Content means any text, images, videos, reviews, messages, documents, or other materials uploaded or shared on the Platform.
- Services means all features and functionalities provided through the Platform.
2. ELIGIBILITY
By using the Platform, you confirm that:
- You are at least 18 years old.
- You have the legal capacity to enter into binding agreements.
- You will provide accurate, current, and complete information.
- You will comply with all applicable laws and regulations.
Fixia reserves the right to suspend or terminate access for Users who fail to meet these requirements or provide false information.
3. ACCOUNT REGISTRATION
Certain features of the Platform require account registration. By creating an account, you agree that:
- Registration information must be accurate and kept up to date.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities conducted under your account.
- You must notify Fixia immediately of any unauthorized access or security breach.
We may suspend or terminate accounts that violate these Terms or pose security or fraud risks.
4. ROLE OF FIXIA
Fixia operates solely as a digital marketplace that connects Customers with independent Service Providers. Fixia:
- Does not directly employ Service Providers unless explicitly stated.
- Does not guarantee the quality, legality, safety, suitability, or availability of services offered by Users.
- Does not guarantee that bookings or transactions will be completed successfully.
- Is not a party to agreements entered into between Customers and Service Providers.
- Is not responsible for disputes, misconduct, damages, losses, injuries, delays, or failed transactions between Users.
Users are solely responsible for evaluating and engaging with each other.
5. SERVICE PROVIDER RESPONSIBILITIES
Service Providers agree to:
- Provide accurate and truthful information about their services.
- Deliver services professionally and in good faith.
- Maintain any licences, permits, certifications, or insurance required by law.
- Honour confirmed bookings where reasonably possible.
- Treat Customers respectfully and lawfully.
- Comply with applicable tax, labour, and business regulations.
- Maintain professional conduct both online and offline.
Fixia reserves the right to verify information provided by Service Providers and may suspend or remove accounts that fail verification requirements.
6. CUSTOMER RESPONSIBILITIES
Customers agree to:
- Provide accurate booking and contact information.
- Treat Service Providers respectfully and lawfully.
- Pay agreed amounts for completed services.
- Comply with applicable laws and regulations.
- Use the Platform in good faith.
- Avoid fraudulent chargebacks or abuse of dispute systems.
Customers are responsible for evaluating the suitability of Service Providers before engaging their services.
7. BOOKINGS, PAYMENTS, FEES, AND REFUNDS
7.1 Bookings
Bookings made through the Platform may be subject to availability, cancellation policies, and additional conditions communicated during the booking process.
7.2 Payments
Payments processed through the Platform may involve trusted third-party payment processors. By making payments through the Platform, you authorise Fixia and its payment partners to process transactions related to your use of the Services.
7.3 Fees
Fixia may charge service fees, commissions, subscription fees, promotional fees, or other charges for certain Platform features. Applicable fees may change from time to time and will be communicated through the Platform where necessary.
7.4 Cancellations
Customers and Service Providers may cancel bookings subject to applicable cancellation rules displayed on the Platform. Repeated cancellations, abuse of cancellations, or no-show behaviour may result in penalties, temporary restrictions, or account suspension.
7.5 Refunds
Refund decisions may depend on: the nature of the service, timing of cancellation, dispute findings, evidence provided by Users, and applicable law. Unless otherwise stated, fees paid to Fixia are generally non-refundable. Fixia reserves the right to investigate disputes and make final determinations regarding refunds facilitated through the Platform.
8. RATINGS, REVIEWS, AND USER CONTENT
Users may post reviews, ratings, comments, messages, and other Content on the Platform. By submitting Content, you:
- Confirm that you have the necessary rights to share it.
- Grant Fixia a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute such Content for Platform operations and promotion.
- Agree not to post unlawful, defamatory, abusive, misleading, fraudulent, or infringing material.
Fixia reserves the right to remove, restrict, or moderate Content at its discretion.
9. COMMUNITY STANDARDS AND PROHIBITED CONDUCT
Users must not:
- Provide false, deceptive, or misleading information
- Engage in fraud, scams, impersonation, or abuse
- Harass, threaten, intimidate, or discriminate against others
- Violate applicable laws or third-party rights
- Attempt to bypass Platform systems or fees
- Upload malicious software or harmful content
- Interfere with Platform security or operations
- Use the Platform for unlawful or unauthorised purposes
- Offer or request illegal, dangerous, or prohibited services
- Share explicit, hateful, or abusive content
- Use the Platform to facilitate financial crimes or money laundering
Fixia may investigate suspected violations and take actions including content removal, warnings, temporary restrictions, permanent suspension, or reporting to law enforcement.
10. SAFETY
Users are responsible for exercising reasonable caution and judgment when interacting with others through the Platform. Users are encouraged to:
- Verify relevant information before engagements
- Meet in safe and appropriate locations where applicable
- Report suspicious or unsafe behaviour
- Avoid sharing unnecessary sensitive personal information
- Comply with all applicable safety laws and regulations
Fixia does not guarantee the conduct, identity, intentions, or actions of Users. In emergency situations, Users should contact appropriate emergency or law enforcement services directly.
11. INTELLECTUAL PROPERTY
All intellectual property rights related to the Platform, including software, branding, logos, text, graphics, and design elements, are owned by or licensed to Fixia. Users may not copy, reproduce, distribute, modify, reverse engineer, or exploit any part of the Platform without prior written permission.
12. PRIVACY AND DATA USE
Fixia collects and processes personal data in accordance with its Privacy Policy. By using the Platform, you consent to the collection, processing, and sharing of information as described in the Privacy Policy.
13. DISCLAIMERS
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Fixia disclaims all warranties, express or implied, including warranties relating to:
- Availability or reliability of the Platform
- Accuracy of information or User Content
- Quality or suitability of services
- Security or uninterrupted access
- Outcomes of interactions or transactions between Users
Use of the Platform is at your own risk.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Fixia shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, goodwill, or opportunities
- Personal injury, property damage, or losses arising from User interactions
- Actions, omissions, or conduct of Users or third parties
Where liability cannot be excluded, Fixia's total liability shall not exceed the total amount paid by the User to Fixia within the three (3) months preceding the event giving rise to the claim.
15. INDEMNIFICATION
You agree to indemnify and hold harmless Fixia, its affiliates, officers, employees, partners, and agents from any claims, liabilities, damages, losses, or expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
- Disputes between you and other Users
16. TERMINATION
Fixia reserves the right to suspend, restrict, or terminate access to the Platform at any time where:
- These Terms are violated
- Fraudulent or unlawful activity is suspected
- Platform security or integrity is threatened
- Required by law or regulatory authorities
Termination may result in removal of Content, cancellation of bookings, or loss of access to Platform features.
17. DISPUTE RESOLUTION
These Terms shall be governed by the laws of the Federal Republic of Nigeria. Users agree to attempt good-faith resolution of disputes before initiating formal legal proceedings. Where disputes cannot be resolved informally, parties may pursue mediation, arbitration, or litigation as permitted under applicable law.
18. MODIFICATIONS TO TERMS
Fixia may update or modify these Terms from time to time. Where material changes are made, we may notify Users through the Platform, email, or other communication methods. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
19. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
20. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional notices referenced on the Platform, constitute the entire agreement between you and Fixia regarding use of the Platform.
